Terms of Service

Effective Date: 8 July 2026

1. Agreement

These Terms of Service ("Terms") govern your access to and use of the website, platform, and services (including Employer of Record, IT staffing, and payroll services) provided by OmniNode Technologies Limited ("OmniNode", "we", "us"), a company incorporated in Hong Kong (CR No.: 80692267). By using our services, you ("Client") agree to be bound by these Terms.

2. Services Description

OmniNode provides global employment and IT staffing solutions.

  • Employer of Record (EOR): We act as the legal employer of your distributed workforce in supported jurisdictions (including Kazakhstan), handling payroll, benefits, tax withholding, and local labor compliance.
  • IT Staffing: We provide access to pre-vetted IT professionals.
  • Platform Services: Access to our dashboard for managing teams, payroll, and compliance documents.

3. Client Obligations & Compliance

  • KYC/AML: Client must pass our Know Your Customer (KYC) and Anti-Money Laundering (AML) checks prior to onboarding. Client warrants that its funds are not derived from illegal activities.
  • Sanctions: Client warrants that it, its UBOs, and its employees are not listed on any international sanctions lists (OFAC, EU, UN, HKMA).
  • Local Law Compliance: Client must comply with all applicable local laws in the jurisdictions where its workers are located. For Kazakhstan, Client must ensure that the nature of work does not violate local labor restrictions for foreign entities.

4. EOR & Employment Model (Kazakhstan & Global)

  • Legal Employer: For EOR services, OmniNode (or its designated local entity/partner in the respective jurisdiction, e.g., Kazakhstan) shall be the legal employer of the worker.
  • Direction & Control: Client retains day-to-day operational control over the workers. Client is solely responsible for ensuring workers are not misclassified if they were to be engaged directly.
  • Liability for Worker Actions: OmniNode is not liable for the intellectual property infringement, negligence, or misconduct of the workers in the course of their duties for the Client.

5. Fees and Payment Terms

  • Invoicing: We will invoice Client monthly in advance for EOR/staffing fees, or in arrears as specified in the Order Form. All fees are in USD or HKD.
  • Payment Terms: Invoices are due within fourteen (14) days of issuance.
  • Late Payments: Late payments will incur interest at a rate of 1.5% per month or the maximum rate permitted by Hong Kong law, whichever is lower.
  • Taxes & Withholding: Client is responsible for all applicable taxes, including VAT/GST. In Kazakhstan, Client shall reimburse OmniNode for any local payroll taxes, mandatory pension contributions, and social deductions withheld or payable.

6. Intellectual Property

  • OmniNode IP: All rights to the OmniNode platform, software, and trademarks remain our exclusive property.
  • Client/Worker IP: As between Client and the worker, Client owns all intellectual property created by the worker during the engagement. OmniNode claims no rights to Client’s IP.

7. Confidentiality

Both parties agree to keep confidential all non-public information disclosed by the other party. This obligation survives the termination of these Terms for a period of three (3) years.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OMNINODE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES. OUR TOTAL AGGREGATE LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY CLIENT TO OMNINODE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Indemnification

Client shall indemnify and hold harmless OmniNode, its directors (including PINGOS Yulia), officers, and employees, from any claims, damages, or expenses arising from: (a) Client’s breach of these Terms; (b) Client’s violation of applicable laws; (c) IP infringement by Client or its workers.

10. Term and Termination

  • Term: These Terms commence on the acceptance date and continue until terminated.
  • Termination for Convenience: Either party may terminate with thirty (30) days’ written notice.
  • Termination for Cause: Either party may terminate immediately upon material breach by the other party, if uncured within fifteen (15) days.
  • Effect of Termination: Upon termination, Client must pay all outstanding fees. We will facilitate the offboarding of EOR workers in compliance with local labor laws (including KZ Labor Code severance requirements).

11. Governing Law and Dispute Resolution

  • Governing Law: These Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region, without regard to its conflict of law principles.
  • Arbitration: Any dispute arising out of or in connection with these Terms shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under the HKIAC Administered Arbitration Rules in force at the time. The seat of arbitration shall be Hong Kong. The language of the arbitration shall be English.
